For years we have been regularly working alongside Italian and foreign private equity operators, active on a plurality of different asset classes, to whom, through multidisciplinary teams, we provide legal and tax assistance in all phases of acquisition or divestment transactions of target companies, from the deal structuring phase, to the legal and tax due diligence phase to the preparation and negotiation of investment and SPA agreements, shareholders' agreements, management incentive plans, etc. In this area we also actively support the client in organizing or participating in competitive tenders or other structured processes organized for the entry or exit of private equity funds from target companies. 

In the drafting and negotiation of contracts related to M&A transactions, Fivers also benefits from the strong skills and experience gained in corporate litigation, which enables us to combine the skills of supporting Clients in the realization of the desired transactions and protecting them. 

Thanks to Fivers's deep-rooted presence in the fabric of Italian industry and entrepreneurship and its focus on Private Clients, we also frequently assist entrepreneurs and families who, even in the context of broader generational transition projects, decide to open the capital of their companies to private equity funds.

Through the deep expertise we have in regulatory and structured finance, we also routinely deal with the organization and set-up of investment funds and the related authorization process, assist private equity fund managers at three hundred and sixty degrees in relation to the relevant special regulations and relations with supervisory authorities, as well as all assist in financing transactions related to the acquisition of targets and subsequent add-on transactions.
